Terms.

What we owe you, what you owe us, and what we don't promise.

These terms cover the neuclips.com website and any video work we do for you. Using the site or engaging us means you accept them. If you're agreeing on behalf of a company, you're confirming you can bind it. Questions: [email protected].

What the service is

You send us long-form footage. We produce finished short-form clips from it, on a plan, a per-clip basis, or as white-label delivery under your own brand. Specific volumes, turnaround and scope are whatever we agree in writing for your engagement.

Your footage, and the rights you need

This one matters. You must have the right to give us every piece of footage, audio, music and image you send. By sending it, you confirm you own it or are licensed to use it and to let us edit it, and that it doesn't infringe anyone's rights. If a rights-holder objects to source material you supplied, that's your responsibility, and you agree to cover us for claims arising from it.

We may refuse or stop work on material we believe is unlawful, infringing, or that we aren't willing to be associated with. We'll tell you why.

Who owns what

  • You keep your source footage. We claim nothing in it. We use it only to make your clips.
  • You own the finished clips once you've paid for them, and you may publish, edit and resell them, including to your own clients.
  • White-label means white-label. No NeuClips watermark, end-card or branding on anything a client of yours sees.
  • We keep our engine. The software, models and templates that produce the clips stay ours. Nothing here licenses them to you.
  • We won't use your work as a reference without asking. No portfolio use, case study or public naming unless you agree in writing, and never for white-label work.

Music and stock

Where we add music or stock footage we use material that is free of copyright restrictions or properly licensed for your use. If you supply your own music, licensing it is on you.

Pilots

A pilot is one per business, ever. Free pilots are exactly what they say: no card, no obligation, and the clips are yours whether or not you continue. Where a pilot is paid, the fee is credited in full against setup if you go ahead.

Revisions and what we don't promise

Your plan includes a set number of revision rounds. We'll fix work that misses an agreed brief. What we can't promise is performance: we do not guarantee views, watch time, followers, reach, revenue or any other result. Short-form distribution is decided by platforms we don't control. Any figures on this site describe past work, not a forecast for yours.

We also don't guarantee the site is uninterrupted or error-free. Turnaround commitments apply to the engagement we agree with you, not to this page.

Payment

Fees, cadence and scope are what we agree in writing. Plans are billed monthly in advance unless stated otherwise, and you can stop a monthly plan before the next renewal, email us. Fees already paid for work delivered aren't refundable. Payments are handled by Stripe under their terms.

Your conduct

Don't use the service to produce anything unlawful, deceptive, harassing, or that impersonates someone. Don't try to reverse-engineer, resell or scrape the engine itself.

YouTube

We publish to our own YouTube channels using internal tooling built on YouTube API Services, and in doing so we are bound by the YouTube Terms of Service. That tooling is ours and is not offered to you as part of any engagement: we do not connect to, publish to, or obtain access to a YouTube channel you own. Finished clips are delivered to you as files, and what you then do with them on your own channels is between you and YouTube. How the integration handles data is set out in our Privacy Policy.

Ending it

Either of us can end an engagement with reasonable notice. We may suspend or end it immediately for non-payment or a serious breach of these terms. Work already delivered stays yours; fees already earned stay ours.

Liability

Nothing here limits liability that can't legally be limited, including for fraud, or for death or personal injury caused by negligence. Otherwise, and to the extent the law allows, we aren't liable for indirect or consequential loss, lost profits, lost revenue or lost data, and our total liability for any claim is capped at what you paid us in the three months before it arose. The service is otherwise provided as-is.

Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, and the courts of Ontario have jurisdiction. If you're a consumer, this doesn't take away rights you have where you live.

Changes

We may update these terms; the date at the top shows when. Changes apply going forward, not to work already agreed. Continuing to use the service after a change means you accept it.
